These Terms of Service (“Terms”) govern access to and use of EaveHQ's websites, software, contractor account tools, estimate workflows, client portal pages, payment workflows, emails, support, and related services (collectively, the “Services”).
By creating an account, clicking to accept these Terms, accessing a quote or invoice portal, approving an estimate, making a payment, or otherwise using the Services, you agree to these Terms and to the EaveHQ Privacy Policy. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not use the Services.
1. Definitions
- Contractor means the home exterior contractor, business, account owner, or authorized business user using EaveHQ to manage estimates, jobs, customers, proposals, or payments.
- Homeowner or Client means a person who receives or accesses an estimate, quote, invoice, payment link, or portal page from a Contractor through EaveHQ.
- Contractor Services means the roofing and home exterior installation, project, warranty, customer support, or other services that a Contractor offers or performs for a Homeowner.
- User Content means information, files, images, photos, addresses, customer information, job notes, pricing, estimates, roofline traces, proposals, invoices, communications, and other content submitted to or generated in the Services by or for a Contractor or Homeowner.
- Payment Processor means Stripe or another third-party provider used to process subscriptions, deposits, final payments, payouts, refunds, disputes, or related payment workflows.
2. What EaveHQ provides
EaveHQ provides software tools for roofing and home exterior contractors. The Services may include contractor account tools, CRM/job tracking, satellite-imagery-assisted estimating, roofline tracing, proposals, quote options, client portal links, invoice/payment workflows, Stripe Connect onboarding, email notifications, and related support.
EaveHQ is a software provider. EaveHQ is not a contractor, installer, seller of Contractor Services, construction provider, project manager, permitting authority, inspection authority, engineering firm, tax advisor, insurance provider, warranty provider, escrow agent, bank, or money transmitter.
3. Business use, authority, and eligibility
The Contractor-facing Services are intended for business use by contractors and their authorized users. You must be at least 18 years old and legally able to enter contracts.
If you create or use an account for a business, you are responsible for all activity under that account, including activity by employees, contractors, administrators, or other authorized users.
4. Contractor responsibilities
Contractors are solely responsible for their business, jobs, customer relationships, and Contractor Services. This includes responsibility for:
- verifying all measurements, roofline traces, quantities, materials, labor, pricing, discounts, fees, taxes, deposits, balances, scope, and proposal terms;
- reviewing estimates, proposals, invoices, portal pages, emails, payment links, and customer-facing terms before sending them;
- obtaining and maintaining required licenses, permits, approvals, inspections, insurance, and customer authorizations;
- complying with building codes, electrical requirements, safety rules, consumer protection laws, advertising laws, privacy laws, tax laws, and all laws that apply to the Contractor's business;
- obtaining the rights, notices, permissions, and consents needed to upload or use Homeowner names, emails, phone numbers, property addresses, photos, job notes, project data, or other personal information in EaveHQ;
- performing installation work safely and professionally;
- setting and honoring the Contractor's own prices, warranties, refund policies, cancellation terms, customer agreements, and service commitments;
- handling Homeowner communications, scheduling, refunds, chargebacks, disputes, complaints, callbacks, warranties, and project outcomes;
- maintaining accurate account, billing, tax, payment, and business information.
EaveHQ does not verify Contractor licensing, insurance, workmanship, code compliance, customer terms, pricing, tax treatment, or project quality.
5. Homeowner and client portal terms
Homeowners may access limited portal pages, quotes, invoices, payment links, or related communications through EaveHQ. If you are a Homeowner, you understand that:
- the Contractor identified in the proposal, invoice, payment page, or portal is the provider of the Contractor Services;
- your contract for home exterior installation or related services is with the Contractor, not EaveHQ, unless EaveHQ expressly states otherwise in writing;
- project scope, workmanship, scheduling, site conditions, change orders, warranties, cancellations, refunds, disputes, and customer service are handled by the Contractor;
- EaveHQ provides software and payment workflow tools but does not guarantee Contractor performance, project results, code compliance, warranty coverage, or refund outcomes;
- payment processing may be handled by Stripe or another Payment Processor.
Homeowners are responsible for providing accurate information submitted through a portal or payment page.
6. Estimates, satellite imagery, and product outputs
EaveHQ helps Contractors create faster and more professional estimates, proposals, invoices, and workflows. EaveHQ does not guarantee that any satellite image, roofline trace, map image, measurement, material count, price, proposal, invoice, recommendation, or other output is complete, current, accurate, profitable, code-compliant, or suitable for a particular job.
Outputs may vary based on image quality, imagery availability, imagery age, roof complexity, obstructions, seasonal conditions, camera angle, property changes, user inputs, tracing precision, pricing settings, materials, labor assumptions, and Contractor review.
Contractors must independently verify final measurements, materials, labor, pricing, taxes, scope, permits, installation requirements, safety requirements, warranties, and customer-facing terms before sending a quote, collecting payment, ordering materials, or performing work.
EaveHQ does not provide engineering, architectural, electrical, safety, building-code, legal, accounting, or tax advice.
7. Accounts and security
You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of login credentials and for all activity under your account.
You must notify EaveHQ promptly if you believe your account has been compromised. EaveHQ may suspend or restrict access if we believe an account presents a security, legal, payment, abuse, or platform-risk issue.
8. Plans, starter offer, and Founding Members
Standard plan
Unless another price is clearly stated at signup or checkout, the standard EaveHQ paid plan is $97/month. Paid plan features include unlimited saved estimates and paid workflow features, subject to these Terms, fair-use limits, abuse limits, product availability, and the plan details shown at signup or checkout.
First five saved estimates free
Every new EaveHQ account receives the first five saved estimates free under the EaveHQ Starter Offer Terms, subject to abuse, duplicate-account, fraud, security, and fair-use limits. The starter offer does not automatically convert to paid access unless the signup or checkout flow clearly says so and you affirmatively authorize payment.
Founding Members
Founding Members is a selected early-access program for up to 10 roofing and home exterior contractors. Unless another price is clearly stated in the accepted Founding Members offer, Founding Members pricing is $48.50/month instead of the standard $97/month, while the account remains active, paid, in good standing, and meeting the feedback requirements in the Founding Members terms.
Founding Members is not transferable. If a founding member cancels, pauses for an extended period, lets payment lapse, misses required feedback obligations, stops using EaveHQ in good faith, abuses the Services, or otherwise falls out of good standing, Founding Members pricing may be lost and is not guaranteed if the account returns later.
To enroll in Founding Members, the accepted contractor must separately accept the EaveHQ Founding Members Addendum in addition to these Terms, the Privacy Policy, the Billing/Cancellation/Refund Policy, and the Starter Offer Terms.
9. Billing, cancellation, refunds, and taxes
Paid subscriptions renew monthly until canceled unless another billing period is clearly stated. Subscription fees are charged through Stripe or another Payment Processor. You authorize EaveHQ and its Payment Processor to charge the payment method you provide for recurring fees, applicable taxes, and other charges shown at checkout.
Prices are exclusive of taxes unless stated otherwise. Contractors are responsible for any sales, use, VAT, GST, or similar taxes that apply to their use of EaveHQ or to their own Contractor Services, except taxes based on EaveHQ's income.
You may cancel a paid subscription at any time. Cancellation stops future subscription renewals. Unless the Billing, Cancellation, and Refund Policy says otherwise or applicable law requires otherwise, cancellation does not automatically refund the current billing period and access may continue through the end of the paid period.
If payment fails, EaveHQ may retry the charge, request updated payment information, limit paid features, suspend access, or terminate the subscription after reasonable notice.
EaveHQ subscription refunds are separate from Homeowner payments to Contractors. EaveHQ subscription refunds do not cover pass-through costs, Homeowner payments, chargebacks, Contractor customer disputes, third-party fees, or Contractor Services unless EaveHQ expressly agrees in writing.
10. Stripe, Stripe Connect, and payment workflows
EaveHQ may use Stripe and Stripe Connect Express to support contractor subscriptions, Homeowner deposits, Homeowner final payments, Contractor payouts, refunds, disputes, and related payment workflows. Payment features are available only where enabled in the product; EaveHQ may launch some accounts with free-only access, manual invoicing, subscriptions, or payment links depending on the launch stage and accepted offer.
EaveHQ does not store raw card numbers, CVV codes, or bank credentials. Payment details are handled by Stripe-controlled or Payment Processor-controlled systems. EaveHQ may receive and store payment metadata, such as customer IDs, connected-account IDs, subscription status, invoice IDs, payment status, transaction metadata, refund/dispute metadata, payout status, card brand, and last four digits where provided by the Payment Processor.
Contractors may be required to create or maintain a Stripe connected account, complete Stripe onboarding, provide identity/business/tax/banking information to Stripe, and comply with Stripe's applicable terms, including the Stripe Connected Account Agreement.
Contractors are responsible for:
- the amounts charged to Homeowners;
- accurate invoices, estimates, deposits, balances, taxes, and payment descriptions;
- obtaining customer authorization for charges;
- refunds, returns, chargebacks, payment disputes, negative balances, and customer complaints related to Contractor Services;
- complying with Stripe's rules, risk reviews, prohibited/restricted business requirements, verification requests, and connected-account obligations.
Stripe or another Payment Processor may reject, delay, withhold, reserve, reverse, limit, terminate, or refuse payments or payouts. EaveHQ is not responsible for Payment Processor outages, declines, holds, reserves, payout delays, reversals, chargebacks, fees, account restrictions, or third-party actions except where applicable law says otherwise.
Unless EaveHQ expressly states otherwise in writing, the Contractor—not EaveHQ—is the seller or provider of the Contractor Services to the Homeowner.
If EaveHQ later charges platform, application, transaction, or payment-facilitation fees, those fees must be disclosed in the applicable checkout, pricing page, order form, or payment terms.
11. Communications and email
You agree that EaveHQ may send transactional, administrative, support, billing, security, portal, estimate, payment, and service-related communications electronically.
Marketing emails from EaveHQ may be unsubscribed from using the instructions in the email or by contacting EaveHQ. Transactional and service-related communications may still be sent after a marketing unsubscribe where necessary to provide the Services.
Contractors are responsible for ensuring that any emails, portal invitations, quote messages, follow-ups, payment requests, or other communications they send or cause to be sent through EaveHQ comply with applicable law, including permission, sender identity, opt-out, and anti-spam requirements.
EaveHQ does not currently authorize automated SMS/text-message marketing through these Terms. If SMS features are added, separate consent, STOP/HELP handling, carrier compliance, and additional terms may be required.
12. User Content and data license
As between EaveHQ and the Contractor, the Contractor retains ownership of User Content submitted to or generated within the Contractor's account, subject to any rights of Homeowners or other third parties.
You grant EaveHQ a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, format, analyze, support, secure, troubleshoot, and otherwise use User Content as needed to provide, maintain, protect, and improve the Services; comply with law; enforce these Terms; and support users.
You represent that you have all rights, notices, permissions, and consents needed to submit User Content to EaveHQ and to use it in connection with the Services.
You may not upload or use User Content that is unlawful, infringing, misleading, harmful, malicious, privacy-invasive, non-consensual, or unnecessarily sensitive. Do not submit Social Security numbers, government ID images, full payment card details, bank login credentials, health information, children's information, or other sensitive data unless EaveHQ expressly requests it and it is necessary for the Services.
EaveHQ will not publicly use a Contractor's company name, logo, testimonial, screenshots, project details, Homeowner information, property addresses, photos, or case study without separate permission.
13. Acceptable use
You may not use the Services to:
- violate any law, regulation, third-party right, contract, or privacy obligation;
- mislead Homeowners or send deceptive estimates, invoices, or payment requests;
- send spam, unlawful marketing, harassment, phishing, malware, or abusive communications;
- collect, upload, or process personal information without required rights, notices, permissions, or consents;
- resell, rent, transfer, share, sublicense, or assign your account to an unrelated business without EaveHQ's written approval;
- bypass usage limits, create duplicate abusive accounts, or manipulate saved-estimate limits;
- interfere with, probe, scan, scrape, overload, reverse engineer, or compromise the Services;
- access another account or data without authorization;
- use the Services for high-risk, illegal, or unsupported activities.
EaveHQ may investigate violations and may remove content, restrict features, suspend accounts, or terminate access where we reasonably believe there is legal, security, payment, abuse, or platform risk.
14. EaveHQ intellectual property and feedback
EaveHQ and its licensors own the Services, software, designs, workflows, documentation, branding, logos, trademarks, templates, and related intellectual property. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Services as permitted by your account and plan.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as allowed by law or by written permission from EaveHQ.
If you provide feedback, suggestions, bug reports, feature requests, or ideas, EaveHQ may use them without restriction or compensation. EaveHQ will not publicly use your name, company name, logo, testimonial, screenshots, project details, or case study without separate permission.
If a founding member or customer provides a public endorsement while receiving free, discounted, or special access, that material connection should be disclosed where required by law.
15. Third-party services
The Services rely on third-party providers, which may include hosting, database, storage, authentication, payment, email, analytics, error-logging, support, mapping, satellite imagery, geocoding, domain/DNS, and other providers. Current expected providers may include Supabase, Vercel, Stripe, Resend, and mapping, satellite imagery, geocoding, analytics, monitoring, support, DNS/domain, or similar providers. EaveHQ will identify additional material provider terms or attribution requirements where required before public launch.
Third-party services may be subject to their own terms and privacy policies. EaveHQ is not responsible for third-party outages, errors, data handling, terms, pricing changes, or service changes except where applicable law says otherwise.
16. Privacy
EaveHQ's Privacy Policy explains how EaveHQ collects, uses, shares, retains, and protects information. By using the Services, you agree that EaveHQ may process information as described in the Privacy Policy.
Contractors are responsible for providing any privacy notices and obtaining any consents required for their own collection and use of Homeowner information and for submitting that information to EaveHQ.
17. Availability, support, and changes to the Services
EaveHQ is an early-stage product. Features may change, improve, be limited, or be discontinued. EaveHQ may perform maintenance, modify the Services, update workflows, or restrict features for reliability, security, legal, business, or product reasons.
EaveHQ will make reasonable efforts to keep the Services reliable, but does not promise uninterrupted, error-free, or always-available operation. Unless EaveHQ separately agrees in writing, EaveHQ does not provide a service-level agreement.
18. Termination and suspension
You may stop using EaveHQ at any time and may cancel a paid subscription according to the Billing, Cancellation, and Refund Policy.
EaveHQ may suspend, limit, or terminate access if we reasonably believe that:
- an account is unpaid;
- payment information is invalid;
- Stripe or another Payment Processor restricts the account or payment flow;
- the account creates legal, security, privacy, payment, or platform risk;
- the account violates these Terms or another applicable policy;
- the account is used for abuse, fraud, spam, unlawful activity, or unauthorized access;
- continued access could harm EaveHQ, users, Homeowners, third-party providers, or the public.
After termination, access to the Services, portals, data, or paid features may be limited or unavailable. Certain data may be retained as described in the Privacy Policy for legal, tax, accounting, security, backup, fraud-prevention, dispute-resolution, or operational reasons.
Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitation of liability, indemnity, dispute terms, and data/privacy provisions.
19. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” EaveHQ disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, accuracy, reliability, availability, data integrity, estimate accuracy, imagery accuracy, measurement accuracy, payment success, profitability, customer satisfaction, or successful project outcomes.
EaveHQ does not guarantee that the Services will increase revenue, improve margins, win jobs, prevent disputes, ensure code compliance, produce accurate measurements, or result in successful Contractor Services.
20. Limitation of liability
To the maximum extent permitted by law, EaveHQ and its owners, officers, employees, contractors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost business; lost opportunities; lost goodwill; business interruption; lost data; payment disputes; chargebacks; Contractor/Homeowner disputes; installation errors; warranty claims; permit or code issues; third-party outages; or inaccurate estimates, even if EaveHQ has been advised of the possibility of those damages.
To the maximum extent permitted by law, EaveHQ's total liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of: (a) the amounts paid by the Contractor to EaveHQ for the Services during the three months before the event giving rise to the claim, or (b) $100.
Some jurisdictions do not allow certain limitations, so some of the above limitations may not apply to you.
21. Indemnification
To the maximum extent permitted by law, Contractors agree to defend, indemnify, and hold harmless EaveHQ and its owners, officers, employees, contractors, agents, affiliates, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Contractor Services, workmanship, warranties, refunds, disputes, or customer relationships;
- estimates, proposals, invoices, payment requests, pricing, taxes, project scope, job performance, or customer communications;
- User Content or data submitted through the Contractor's account;
- lack of required rights, notices, permissions, or consents for Homeowner data;
- violation of law, privacy obligations, consumer protection rules, contractor licensing rules, tax obligations, or payment obligations;
- Stripe, Payment Processor, chargeback, refund, payout, negative balance, or connected-account issues caused by or related to the Contractor;
- misuse of the Services or breach of these Terms.
22. Disputes, governing law, and venue
Before filing a formal claim, you agree to first contact EaveHQ at [TBD legal/support email] and try to resolve the dispute informally. EaveHQ will do the same where practical.
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules, unless applicable law requires otherwise.
Unless applicable law requires otherwise, the state and federal courts located in Utah County, Utah will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction and venue in those courts.
23. Changes to these Terms
EaveHQ may update these Terms from time to time. If changes are material, EaveHQ will make reasonable efforts to provide notice, such as by posting the updated Terms, updating the effective date, sending an email, or providing in-app notice.
Your continued use of the Services after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using the Services and cancel any paid subscription.
